General Terms and Conditions of Sale (GTC) – Happer SAS


1. Company Information

These General Terms and Conditions of Sale (GTC) govern the purchase of products through the Happer.fr website and application, published by Happer SAS, a simplified joint-stock company with a sole shareholder (SASU), registered with the Paris Trade and Companies Register under number 943 607 960, with its registered office at 6 Rue d'Armaillé, 75017 Paris, France.

Happer SAS acts as a digital intermediary. Each product offered for sale is made available by one of our partner brands, responsible for providing the product, delivery, and specific conditions related thereto.

2. Intellectual Property

2.1 The entire structure of the Happer.fr website and application (design, content, interfaces, code, illustrations), as well as downloadable documents, are protected under the French Intellectual Property Code.

2.2 Any reproduction, modification, distribution, or adaptation, even partial, without the express authorization of Happer SAS or its partners, is strictly prohibited and constitutes civil and criminal infringement.

3. Modification of the GTC

3.1 Happer SAS reserves the right to modify or adapt these GTC at any time. Such modifications take effect upon publication and apply to new purchases.

3.2 Users will be informed of any changes via a visible notification on the application or by email when they hold an active customer account.

4. Payment Terms

4.1 Payment for products is made directly via the application or the website, using the methods defined by Happer SAS (Apple Pay, Google Pay, credit card via Stripe, installment payment through our partner Stripe).

4.2 Billing terms, timing of debits, and order validation conditions are determined by our partner brands. Happer SAS facilitates the process, but responsibility for payment lies with the customer.

4.3 In the event of a validated order, the user authorizes the initial debit as well as any subsequent adjustment related to a correction or modification approved by the partner brand.

5. Deliveries & Fees

5.1 Product delivery is carried out directly by the partner brands responsible for each order. Each brand sets its own delivery conditions (shipping method, carrier, lead times, service areas, associated costs).

5.2 Separate delivery fees by brand:

- When a consumer orders products from multiple partner brands within a single Happer order, it is important to note that each brand applies its own delivery fees.

- Consequently, the purchase invoice may include multiple separate delivery fee lines, corresponding to each shipment made by each partner brand.

- These fees are displayed separately during the ordering process, so that the user can clearly see and understand the details before validating their purchase.

5.3 Illustrative Example:

- If a consumer purchases one product from Brand A and two products from Brand B, the products from Brand A will be shipped by Brand A under its own conditions, and the products from Brand B will be shipped by Brand B under its terms.

The Happer invoice will therefore show:

- It is therefore possible to have multiple cumulative delivery fees within a single Happer order.

5.4 Some partner brands may offer promotions or free shipping according to their own policies (minimum order threshold, commercial campaigns, etc.). In such cases, these conditions will be clearly indicated at the time of purchase.

5.5 Delivery times may therefore vary from one product to another, depending on the partner brand, stock availability, and the chosen shipping method. The user will thus receive multiple separate parcels corresponding to the shipments of different partner brands.

6. Returns, Exchanges and Withdrawal

6.1 Return / Exchange:

Users requesting a return or exchange must follow the specific conditions defined by the partner brand, generally within a time frame of 14 to 30 days after delivery.

6.2 Right of Withdrawal:

In accordance with French law, any distance contract may benefit from a 14-day right of withdrawal from the date of product receipt, except for exceptions specified by the brand (customized or perishable products, etc.).

6.3 Conditions:

Products must be returned in perfect condition, unused, and in their original packaging. Return costs may be borne either by the brand or by the customer depending on the partner’s rules. A prepaid label may be provided if the brand’s policy allows.

6.4 Refund:

Refunds are made according to the conditions indicated by the partner brand, within a maximum of 14 to 30 days after receipt and verification of the returned product, and through the same payment method used for the purchase. No additional fees should be charged to the customer, unless otherwise stated beforehand.

7. Compliance and Warranty

7.1 Products sold comply with their description and are authentic, new, and conform to applicable standards.

7.2 Each partner brand guarantees its products. In the event of non-compliance or hidden defects, the user may contact the partner brand directly for repair, replacement, price reduction, or refund in accordance with the law.

7.3 Happer SAS facilitates communication but is not personally responsible for the legal warranty, which falls under the direct responsibility of the supplying partner.

8. Non-Commercial Use

8.1 The services of Happer.fr (website and application) are reserved strictly for personal and non-commercial use. Resale of products purchased via the application is strictly prohibited.

8.2 Happer SAS reserves the right to limit or cancel suspicious orders (multiple accounts, abnormal volumes, fraudulent use) in order to preserve service fairness.

9. Customer Responsibility

9.1 The user is personally responsible for their purchases and the distribution of products won or acquired.

9.2 Any abuse or account violation will result in suspension or termination of the account, as well as a possible ban on future access to the application.

10. Suspension or Termination of Services

10.1 Happer SAS reserves the right to suspend or terminate the application or certain features for technical, legal, or strategic reasons, without notice and without compensation.

11. Disputes and Applicable Law

11.1 These GTC are governed by French law.

11.2 In the event of a dispute not resolved amicably, the competent courts will be those of the jurisdiction of Happer SAS’s registered office (Paris, France).
